01 — Overview

Commercial Court Lawyer in UAE

A commercial dispute is rarely about who is right. It is about who can prove what, within what deadline, and against assets that still exist. Businesses in the UAE lose recoverable money every year not because their contracts were weak, but because the claim was filed late, filed in the wrong forum, or pursued through a full trial when a two-week enforcement route was available.

TrustedLawyers.ae acts for companies, distributors, contractors, suppliers, investors and lenders in commercial claims across the Emirates. We handle B2B contract and supply disputes, debt and cheque recovery, shareholder and joint venture claims, commercial agency terminations, and creditor recovery where a counterparty has become insolvent. The first thing we do on any new file is check the limitation clock and the fastest enforceable route to payment.

Classification

Commercial or Civil? The Classification Changes Everything

Many businesses assume a dispute is simply "a court case." Under UAE law the classification is a substantive question, and it changes the deadline, the standard of proof and, in some cases, who is liable.

The merchant test

The Commercial Transactions Law applies to merchants and to commercial activity. The definition is broad: every person carrying out acts of commerce, and every company engaged in commercial activity under the Commercial Companies Law. The 2022 reform widened it further to cover virtual commercial business — commercial activity conducted through modern technology, even by someone who is not a trader. If your dispute arises from a transaction between businesses, it is almost certainly commercial.

Five years, not fifteen

This is the point most businesses discover too late. Federal Decree-Law No. 50 of 2022 cut the limitation period for obligations between merchants from ten years to five. Compared with the longer periods that can apply to ordinary civil claims, a commercial creditor has materially less time to act. Where a cause of action arose before 2 January 2023, transitional principles determine which period applies, and the analysis is not always intuitive.

If your dispute is not between merchants — a property claim, a personal debt, a compensation claim — the route and the deadlines differ, and our civil court lawyer team handles those instead.

Interest, and why compound interest fails

The Commercial Transactions Law sets out how interest is treated where a contract is silent on the rate, and expressly prohibits compounding interest. Claims drafted with compound interest built into the quantum tend to be reduced by the court, which weakens the negotiating position long before judgment.

03
Statutory framework

The Statutes Your Commercial Case Runs On

Commercial litigation in the UAE sits on a stack of specialist statutes, with the general civil law filling any gaps:

  • Federal Decree-Law No. 50 of 2022 — the Commercial Transactions Law, in force since 2 January 2023, replacing the 1993 Commercial Code.
  • Federal Decree-Law No. 32 of 2021 — the Commercial Companies Law, governing shareholder rights, management duties and company disputes.
  • Federal Law No. 3 of 2022 — the Commercial Agencies Law, in force since June 2023, replacing the 1981 regime.
  • Federal Decree-Law No. 51 of 2023 — the Financial Restructuring and Bankruptcy Law, in force since 1 May 2024.
  • Federal Decree-Law No. 35 of 2022 — the Law of Evidence, which governs what you can prove and how, including electronic records.
  • Federal Decree-Law No. 42 of 2022 — the Civil Procedure Law, as amended by Federal Decree-Law No. 22 of 2025 with effect from 1 January 2026.

The general law behind all of this changed in 2026 as well. Federal Decree-Law No. 25 of 2025, the new Civil Transactions Law, replaced the 1985 Civil Code in full on 1 June 2026 and renumbered its articles. Where the commercial statutes are silent, that is the code the court falls back on — so pleadings citing the old article numbers now point at the wrong provisions.

Dispute types

Commercial Disputes We Run

B2B contract and supply disputes

Terminated supply agreements, disputed variations, defective delivery, failed service levels and wrongful termination claims. These cases are usually won on the correspondence trail rather than the contract itself, which is why we secure and organize the documentary record before anything is filed.

Debt recovery and dishonored cheques

Unpaid invoices, defaulted payment plans and returned cheques. Where a security cheque exists, the enforcement route is materially faster than a conventional claim — see the section below.

Shareholder and joint venture disputes

Exclusion from management, disputed profit distributions, deadlock, breach of shareholders’ agreements and claims against directors and managers under the Commercial Companies Law. These matters usually need the litigation strategy and the corporate filings sequenced together.

Commercial agency and distribution

Termination and non-renewal of registered agencies, compensation claims, and disputes between principals and distributors. This category has its own compulsory procedure, covered below.

Banking, guarantee and credit disputes

Calls on bank guarantees and letters of guarantee, facility disputes, security enforcement and challenges to demands. The 2022 Commercial Code updated several provisions in this area, and the drafting of the instrument usually decides the outcome.

Creditor recovery in insolvency

Where the debtor has entered preventive settlement, restructuring or bankruptcy, recovery becomes a question of filing correctly and on time rather than litigating the merits.

05
Fast recovery

Two Fast Routes Most Businesses Do Not Use

A dishonored cheque is an enforcement document

Since the cheque reforms took effect on 2 January 2022 and were carried into the Commercial Transactions Law, a cheque returned unpaid for insufficient funds is treated as an executive instrument. The holder can go directly to the execution judge and seek compulsory enforcement, without first obtaining a judgment on the merits. Where the account holds part of the amount, the bank must release the available balance and certify the shortfall, and the holder enforces the remainder.

Decriminalization was partial, not total. Ordinary insufficient-funds cases are now handled civilly, but bad-faith conduct — stopping payment without cause, closing the account before presentation, or signature manipulation — can still carry criminal exposure. Whether to run the civil route alone or in parallel is a strategy decision, and it should be taken deliberately rather than by default.

The payment order route

Where a debt is established in writing and is of a fixed amount, the Civil Procedure Law provides a payment order procedure decided largely on the documents. It is considerably shorter than a full claim and converts into execution quickly. It is not suitable where the debt is genuinely disputed, but for clean documentary debts it saves months.

When to instruct a commercial lawyer in UAE — warning signs
Decision point

When to Instruct a Commercial Lawyer in UAE

  • A customer or supplier has stopped paying and has stopped answering correspondence.
  • A cheque has been returned unpaid by the bank.
  • Your agency, distribution or franchise agreement is being terminated or not renewed.
  • A shareholder or partner is being excluded from management, information or profits.
  • The five-year commercial limitation period is running down on an old debt.
  • A guarantee has been called, or you need to resist a call on one.
  • A counterparty has entered preventive settlement, restructuring or bankruptcy.
  • You hold a judgment or an award and nothing has been recovered.

The common thread is that each of these has a clock attached. Assets move, companies restructure, and limitation periods expire. Early instruction is usually cheaper than the alternative, not more expensive.

07
Jurisdiction

Where Commercial Cases Are Heard

There is no single "commercial court" covering everything. Four routes matter:

  • The onshore courts, running through First Instance, Appeal and Cassation. Since the 2026 procedural amendments, specialized circuits may be constituted for civil and commercial disputes, including at the request or by agreement of the litigants.
  • The Bankruptcy Court, established under the 2023 Bankruptcy Law, which handles preventive settlement, restructuring and bankruptcy.
  • The Commercial Agencies Committee at the Ministry of Economy, which must hear registered agency disputes before any court claim is admitted.
  • The DIFC Courts and the ADGM Courts, which are common-law jurisdictions operating in English with their own judges, rules and insolvency regimes.

Filing in the wrong one costs months. Where a contract contains a jurisdiction clause, that clause usually settles the question, and it is worth reading it before the dispute rather than after.

How a Commercial Case Runs

Demand and evidence assembly

A formal notice is issued and the documentary record is secured — contracts, purchase orders, delivery notes, statements of account, and the email and messaging trail. The Law of Evidence recognizes electronic records, which matters in commercial cases where most of the dealing happened by email.

Pre-action requirements

Depending on the claim type and the Emirate, the matter may need to pass through conciliation, or through the Commercial Agencies Committee, before a court will register it.

Filing and case management

The claim is filed in Arabic with legally certified translations of foreign-language documents. The Case Management Office supervises service and the exchange of memoranda. Because the 2026 amendments tightened appeal formalities and narrowed cassation review, the record built at this stage increasingly determines what can be argued later.

The expert stage

Commercial disputes involving accounts, quantum or technical performance are referred to a court-appointed expert whose report carries substantial weight. In practice this is the decisive stage in most commercial cases, and it deserves the same preparation as a trial.

Judgment, appeal and execution

Judgment is followed, where necessary, by appeal within the statutory period and by cassation on points of law where the threshold is met. Execution is where the money actually moves: account attachment, share and asset seizure, and travel bans. We treat execution as part of the mandate rather than a separate matter.

09
Commercial agencies

Commercial Agency Disputes Have a Compulsory First Stop

Federal Law No. 3 of 2022 replaced a regime that had stood for over forty years. For a commercial agency registered with the Ministry of Economy, no claim is admitted before the courts until the dispute has been referred to the Commercial Agencies Committee. The Committee begins hearing within twenty-two working days of a complete application and must decide within one hundred and twenty days.

The 2022 law also allows agency disputes to be referred to arbitration — something the old regime did not permit — with the seat inside the UAE unless the parties agree otherwise. Principals and agents therefore now have a genuine forum choice, and the choice is worth making deliberately at the contract stage rather than in the middle of a termination.

When the Debtor Cannot Pay

Federal Decree-Law No. 51 of 2023 came into force on 1 May 2024 and established a dedicated Bankruptcy Court alongside preventive settlement and restructuring procedures. For a creditor, the practical consequences are immediate: a moratorium can suspend your claim, your contracts and security may be affected by a restructuring plan, and your claim must be filed with the trustee within the prescribed window.

The law does not apply uniformly. Free zone entities, DIFC and ADGM companies, and banks and insurers licensed by the Central Bank sit outside it, under separate regimes. Establishing which framework governs your debtor is the first step, not a detail.

11
Forum choice

Court or Arbitration for a Commercial Contract

For most commercial contracts the forum was decided at signature. A valid arbitration clause will generally defeat a court claim, and filing in court regardless usually ends with the claim stayed or dismissed and the costs wasted. If your contract contains one, our arbitration lawyer team runs the matter instead. Where no clause exists, the trade-offs are these:

What Commercial Litigation Costs

Three costs sit behind a commercial claim: the court fee, calculated on the claim value and capped at Emirate level; the expert deposit, where an expert is appointed; and legal fees, structured as fixed stage fees, hourly rates or a blend depending on how predictable the matter is.

Recovery of legal costs from the losing party is generally partial. That is why the useful question is never "can we win" but "what is the realistic net recovery, and against what assets." We give a written view on merits, timeline and recovery prospects before anything is filed, and we will tell you when a claim is not worth bringing.

Why us

Why Clients Choose TrustedLawyers.ae

Choosing the best commercial lawyer in UAE is less about courtroom presence than about judgment made early. What we hold ourselves to:

  • The limitation position is checked and diarized on day one, before strategy is discussed.
  • Cheque execution and payment order routes are tested before a full claim is drafted.
  • Advocates with rights of audience before the courts where your case will actually be heard.
  • Claims pleaded under the correct commercial statute, with the post-2026 civil code as the fallback.
  • Expert-stage submissions prepared as the decisive stage, because that is what they are.
  • The mandate carried through execution and asset tracing, so judgments become recovered money.
  • Arabic pleadings with English-language reporting your board can act on.

FAQ

Frequently Asked Questions

What does a commercial court lawyer do in the UAE?+

A commercial court lawyer assesses the merits and the limitation position, issues and answers demands, chooses the enforcement route, files and argues the claim, manages the court expert stage, and enforces the outcome through the execution court.

How long do I have to bring a commercial claim?+

Federal Decree-Law No. 50 of 2022 set a five-year limitation period for obligations between merchants, reduced from ten years under the previous Commercial Code. Where the cause of action predates 2 January 2023, transitional principles decide which period applies. Because the consequence of getting this wrong is total, it should be checked on the facts at the outset.

Is my dispute commercial or civil?+

It turns on whether the parties are merchants and whether the transaction is an act of commerce. The definition is broad and now includes commercial activity conducted through technology. The classification affects the limitation period, the rules of proof and the presumptions applied.

Can I enforce a bounced cheque without a court case?+

In the standard insufficient-funds scenario, yes. A cheque returned unpaid is treated as an executive instrument, so the holder can apply directly to the execution judge rather than first obtaining a judgment on the merits.

Is a bounced cheque still a crime in the UAE?+

Not automatically. Decriminalization was partial: an ordinary insufficient-funds case is handled civilly, but bad-faith conduct such as stopping payment without cause or closing the account before presentation can still carry criminal consequences.

What is a payment order and when can I use it?+

It is a shortened procedure under the Civil Procedure Law for debts established in writing and fixed in amount, decided largely on the documents. It is not appropriate where the debt is genuinely disputed on the merits.

Do I have to go to the Commercial Agencies Committee first?+

For a commercial agency registered with the Ministry of Economy, yes. No court claim is admitted until the dispute has been referred to the Committee, which begins within twenty-two working days of a complete application and decides within one hundred and twenty days.

Can commercial agency disputes go to arbitration?+

Yes. Federal Law No. 3 of 2022 permits it, which the 1981 regime did not. The seat must be inside the UAE unless the parties agree otherwise.

My debtor has gone into restructuring. What happens to my claim?+

A moratorium may suspend proceedings, and your recovery will depend on filing your claim with the trustee within the prescribed period and on how the plan treats your class of creditor. Missing the filing window is one of the most common and most costly errors creditors make.

Does the Bankruptcy Law apply to free zone and DIFC companies?+

No. Free zone entities and companies registered in the DIFC or ADGM are covered by separate insolvency regimes, and banks and insurers licensed by the Central Bank are outside the federal law as well.

Can I claim compound interest?+

The Commercial Transactions Law prohibits compounding interest. Claims built on compounded figures are typically reduced, which is why the quantum should be calculated correctly before the demand is issued rather than after.

Can a commercial case be heard in English?+

Not before the onshore courts, which operate in Arabic and require legally certified translations. The DIFC Courts and the ADGM Courts operate in English.

Can you act for defendants as well as claimants?+

Yes. A large part of our commercial work is defense: resisting cheque execution, challenging jurisdiction, contesting expert findings, and reducing exposure on quantum.

How do I start?+

Send the contract, the invoices or statement of account, any cheque and bank return memo, and the correspondence. We come back with the limitation position, the fastest enforceable route, the likely timeline and the cost.
